DIVESTITURES
If
our assignment is to represent a client in a school sale or
divestiture, we conduct a thorough situational analysis of
the business. In addition, we will survey competition and
companies in vertical businesses. The results of these
analyses will be an action plan that will prepare the client
for all aspects of the transaction and possibly recommending
a course of action to enhance value. In addition, at this
point, we may recommend the use of an auction as opposed to
more traditional methods of selling a business. |

The engagement includes estimating the fair market value of
the school and the preparation of a marketing portfolio or
business plan (memorandum) The memorandum will present the
school in best light, while still being informative and
balanced.
We introduce the client to pre-screened prospective buyers.
The buyer search includes direct contact with companies in
the client’s industry and related industries, media and
Internet advertising, contacts with high net worth
individuals and private equity firms, and contact with other
qualified intermediaries.
On our client’s behalf, we deal directly with all concerned
parties, managing communications and interactions. We assist
with and mediate in all phases from negotiations, due
diligence, and preparation of agreements to closing.
At each step in the process we are in direct contact with
the client, providing information, guidance and seeking
advice and consent.
