Each prospective client will have a slightly different list of
questions to ask a prospective intermediary based on their
situation. Some general questions you should ask follow:
How do you preserve confidentiality?
Do you have experience in my industry?
What size, type and number of
transactions have you been involved in?
What percentage of engagements do you
successfully complete?
What are your fees?
What do you charge up-front?
How do you value businesses and how do your
evaluations compare with actual results?
How long is your contract and can I get out
if I’m not happy with your performance?
How long will it take to sell my business?
Rather
than answer each question specifically, we would like to
provide you with general qualifications that will hopefully
answer some of your more important questions. If you have

Putting together a deal is an art not a science. Each
transaction is the result of putting two sides together to
work out a deal that both parties consider favorable.
Basically, we put together relationships, not strictly
business transactions. As an intermediary, we know how to
facilitate frank and open communications, while keeping the
process on track and moving steadily forward.
Each
engagement we undertake is unique, so are the services we
provide each client. By tailoring a program to the specialized
needs of each client, Abacus Mergers & Acquisitions is able to
keep a fresh perspective and uncover the opportunities and
challenges unique to each transaction. We will work with the
client to develop an overall plan and estimate a range of
business sale prices. We then create a custom business plan
or confidential marketing portfolio to portray your company in
the most favorable light and to generate quality interest in
the acquisition opportunity. We will bring qualified buyers
to the table and assist with and mediate during negotiations,
preparation of agreements and finally closing.
While
we are not attorneys or lawyers and do not provide legal or
tax advice; we have, however, been an intermediary for over 15
years and can provide you guidance and insight in these
areas.
Your
time is important to you and we are readily accessible at any
time. We remain in contact and keep all parties apprised of
the progress to ensure there are no misunderstandings. We
don't over-extend ourselves, taking on a limited number of
client projects. Because we ask for a minimal or no up-front
fee and a fair success fee, we can not afford to work with
less than quality opportunities, as the only way we make money
is through our client's success.
We are
very confident in our ability; however, we recognize that not
everyone will like our style. Therefore, we allow our clients
to terminate our engagement at any time after 3-months.
